Job Summary:

We are looking for an experienced Company Secretary to ensure the company’s compliance with statutory and regulatory requirements. The role involves corporate governance, managing board meetings, and maintaining statutory records. The ideal candidate should have a strong understanding of corporate laws, governance, and secretarial practices.


Key Responsibilities:

  • Ensure compliance with corporate laws, SEBI regulations, and Companies Act provisions.

  • Organize and manage board meetings, including drafting agendas, minutes, and resolutions.

  • Maintain statutory records, registers, and filings with regulatory authorities.

  • Liaise with regulatory bodies such as the ROC, SEBI, and stock exchanges.

  • Draft and review legal agreements, contracts, and policies.

  • Assist in corporate governance initiatives and risk management.

  • Support in handling corporate restructuring, mergers, and acquisitions.

  • Ensure timely filing of annual returns, financial statements, and other statutory reports.

  • Provide legal and compliance advice to the management and board members.

  • Handle investor relations and manage shareholders’ meetings.


Qualifications & Skills:

  • Qualified Company Secretary (CS) with a minimum of 2 years of post-qualification experience.

  • Strong knowledge of corporate laws, SEBI regulations, and corporate governance practices.

  • Excellent communication and drafting skills.

  • Ability to manage multiple tasks and deadlines efficiently.

  • Proficiency in MS Office and compliance management software.

  • Strong analytical and problem-solving skills.

Preferred Qualifications:

  • LLB or additional legal qualification is an advantage.

  • Experience in a listed company or financial institution preferred.

  • Knowledge of international corporate laws and compliance frameworks is a plus.
